1. Service Description

Overseer AI Agency provides an AI-powered code generation and delivery service. The Service enables clients to submit software engineering tasks which are executed by a pipeline of autonomous AI agents. Upon completion, deliverables are provided as GitHub pull requests containing generated source code, tests, and documentation.

The Service includes: task submission via the client portal, autonomous multi-agent execution, automated quality verification, GitHub pull request delivery, real-time job status monitoring, and usage-based billing.

2. AI-Generated Code Disclaimer

All code delivered by the Service is generated by AI agents. You acknowledge and agree that:

• AI-generated code may contain errors, bugs, or security vulnerabilities not detected by automated quality gates.
• You are solely responsible for reviewing all delivered code before deploying it to any production environment.
• The Service makes no warranty of fitness for any particular purpose. Delivered code is a starting point, not a finished product.
• Quality gates reduce — but do not eliminate — the possibility of defects in delivered code.
• Human review by a qualified engineer is strongly recommended before production use.

3. Liability Limitations

The Service is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law:

• Liability cap: Overseer AI Agency's total liability to you for any claim arising from use of the Service shall not exceed the fees you paid in the twelve (12) months immediately preceding the event giving rise to the claim.
• Excluded damages: Overseer AI Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.
• You agree to indemnify and hold harmless Overseer AI Agency from any claims arising from your use of delivered code in production environments.

4. Refund Policy

Billing is governed by the following rules:

• Failed jobs: Jobs that do not pass automated quality gates are not billed and the job credit is returned to your account.
• Completed jobs: Successfully delivered jobs (quality gates passed, PR created) are non-refundable, regardless of whether you merge the pull request.
• Subscription fees: Monthly subscription fees are non-refundable unless the Service experiences a verified outage exceeding 24 continuous hours.
• Enterprise plans: Refund terms for enterprise plans are governed by the applicable Service Level Agreement (SLA) negotiated at contract signing.

5. Data Handling

You retain ownership of all code and project data submitted to and delivered by the Service. Regarding data retention:

• Retention period: Code submissions and delivered outputs are retained for 30 days after delivery to allow re-download and dispute resolution.
• Deletion requests: You may request immediate deletion of your data by contacting support. Deletion requests are processed within 5 business days.
• No third-party sharing: Your project data, code submissions, and delivered outputs are never shared with third parties, used to train AI models, or disclosed except as required by law.
• Agent processing: Your code and task descriptions are transmitted to AI model providers (Anthropic, DeepSeek) solely for the purpose of task execution. Provider data retention policies apply.

6. Usage Limits and Acceptable Use

Per-plan job limits are enforced automatically. You agree not to use the Service to:

• Generate malware, ransomware, spyware, or any code designed to harm others' systems.
• Create cryptocurrency mining software intended for unauthorized deployment.
• Build systems designed to harass, stalk, or harm individuals.
• Circumvent security controls on systems you do not own or have permission to test.
• Generate content that violates applicable laws in your jurisdiction.

Violation of acceptable use results in immediate account termination without refund. Overseer AI Agency reserves the right to report illegal activity to appropriate authorities.

7. Modifications to Terms

Overseer AI Agency may update these Terms of Service at any time. When changes are made:

• You will be notified via email (if provided) at least 30 days before changes take effect.
• Continued use of the Service after the effective date constitutes acceptance of the revised terms.
• If you do not agree to the revised terms, you may cancel your account before the effective date.
• Material changes to pricing or service scope require 30 days notice; minor clarifications may be updated immediately.
